Terms of Service
The agreement between you and Echoes.

PLEASE READ THESE TERMS OF SERVICE (“TERMS”) CAREFULLY BEFORE USING THE ECHOES APPLICATION OR WEBSITE. THESE TERMS CONTAIN A BINDING ARBITRATION PROVISION AND A CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING THE SERVICE, YOU AGREE TO RESOLVE DISPUTES THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT.
Plain-language summaries labeled “The short version” appear throughout for readability. They are not a substitute for the full text, which governs. A separate Plain English Summary covers the basics of these Terms and our Privacy Policy.
1. AGREEMENT TO TERMS
These Terms constitute a legally binding agreement between you (“you” or “User”) and Agentic Software Solutions, LLC, a California limited liability company doing business as Echoes (“Echoes,” “we,” “us,” or “our”).
These Terms govern your access to and use of the Echoes mobile application (the “App”), the website at echoesmemoirs.com (the “Website”), and all related features, content, and services (collectively, the “Service”).
By creating an account, downloading the App, accessing the Website, purchasing a gift, or otherwise using the Service, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. DESCRIPTION OF THE SERVICE
The short version: Echoes records AI-guided voice interviews with a storyteller and turns them into a transcript, an audiobook woven from the storyteller’s real voice, and a memoir book — shareable with family. It’s built for U.S. users, and the AI is not a person or a therapist.
Echoes enables users to record, preserve, and share family stories through AI-assisted voice interviews. The Service includes real-time AI-facilitated interview sessions, automatic transcription, AI extraction of people, places, events, and timelines from what is said, a narrated audio memoir, a memoir book in PDF and ePub formats, family sharing, gift purchases and code redemption, a free one-question demo (the demo answer is recorded — see the Privacy Policy), and the display of crisis resources during sensitive interviews.
The Service uses artificial intelligence provided by third parties, including OpenAI. The AI is not a human interviewer, therapist, counselor, or medical professional.
U.S. Orientation. The Service is designed for and directed to residents of the United States: pricing is in U.S. dollars, and crisis resources displayed by the Service are U.S.-specific. We make no representation that the Service is appropriate or available for use in other jurisdictions.
3. ACCOUNT REGISTRATION AND SECURITY
3.1 Account Creation
To use the Service, you must create an account using a valid email address, Apple Sign-In, or Google Sign-In. You agree to provide accurate, current, and complete information and to update it as necessary.
3.2 Account Security
You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately at echoes-legal@agenticsoftwaresolutions.io if you become aware of any unauthorized use of your account.
3.3 Account Deletion by User
You may delete your account at any time through the App’s settings. Account deletion automatically erases your cloud-stored data — recordings (including playable copies of stories you shared with family), transcripts, stories, extracted data, profiles, and usage records — and removes your authentication credentials. Deletion is permanent and cannot be undone. Descriptive details of stories you shared with a family group (title, storyteller name, a short transcript preview) and comments you left in family groups may remain visible to that family group after deletion, as described in the Privacy Policy. Deleting your account does not entitle you to a refund and does not by itself initiate one.
3.4 Account Termination by Us
We reserve the right to suspend or terminate your account at any time, with or without notice and with or without cause, including for violations of these Terms, fraudulent or illegal activity, or extended periods of inactivity. Upon termination, your right to use the Service ceases immediately. We shall not be liable to you or any third party for any termination of your access to the Service.
4. AGE, CONSENT, AND PERMISSIONS
The short version: Everyone involved must be 18 or older — you and the person being interviewed. Before recording, you go through our consent flow. If you record someone else — a parent, a grandparent — getting their genuine consent is your job.
4.1 Age Requirement
Both the account holder and the storyteller being interviewed must be 18 years of age or older. The Service is not designed for and may not be used to record anyone under 18. If we learn that a storyteller is under 18, we may remove the associated content and suspend the account.
4.2 Recording Consent
Before using the recording features, you must provide explicit consent through our in-app consent flow, which includes acknowledgments of voice recording, story content storage, third-party mentions in your stories, AI processing disclosure, and a disclaimer that the Service is not therapy or mental health treatment.
4.3 Third-Party Storyteller Consent
If you record interviews with a storyteller other than yourself, YOU are solely responsible for obtaining that storyteller’s informed consent before recording — including, where applicable law requires the consent of every participant to a recording, the consent of all participants. Several states, including California, require all-party consent. This includes informing the storyteller that their voice will be recorded and stored, that recordings may be processed by AI (including OpenAI), that personal information mentioned in the interview (names, places, dates, relationships) will be extracted and stored, and that stories may be shared with family members if sharing is enabled. We bear no responsibility or liability for your failure to obtain proper consent from storytellers or any third parties mentioned in recordings.
4.4 Microphone Permission
The Service requires access to your device’s microphone to record interviews. You may revoke this permission at any time through your device settings, but the recording features will not function without it.
5. USE OF THE SERVICE
The short version: Full access comes with a purchase, a gift, or family membership. Recording sessions run up to an hour each, with no cap on how many stories you record. Listener accounts can enjoy shared stories but never record.
5.1 Permitted Use
You may use the Service for lawful personal and family story preservation purposes in accordance with these Terms.
5.2 Prohibited Conduct
We have no tolerance for objectionable content or abusive behavior on the Service. You agree not to use the Service to: record any person without their knowledge and consent; create, upload, or share content that is illegal, threatening, harassing, abusive, defamatory, obscene, hateful, or that depicts or promotes the exploitation or abuse of any person; impersonate any person or entity; interfere with or disrupt the Service or its servers; attempt to gain unauthorized access to any portion of the Service; use the Service for any commercial purpose not expressly authorized by us; reverse engineer, decompile, or disassemble any portion of the Service; circumvent any access controls, usage limits, or security features; use automated means (bots, scrapers, and the like) to access the Service; upload or transmit viruses, malware, or other harmful code; or violate any applicable local, state, national, or international law.
We may remove content and suspend or terminate accounts that violate this section, with or without notice.
5.3 Access and Usage Limits
Full access to the Service requires a purchase (Section 8), redemption of a valid gift code, or membership in a family group with an active entitlement. Before purchase, the free demo lets you answer one interview question and hear a narrated sample; the demo answer is recorded as described in our Privacy Policy.
Recording with full access is not subject to a total time cap, but individual recording sessions are limited to one hour each, and use of the Service is subject to rate limiting and anti-abuse controls. Accounts with the listener role can view and listen to shared stories but cannot record. We reserve the right to modify usage limits, pricing, and available features at any time; changes will not reduce access already purchased.
5.4 Rate Limiting
API calls to the Service are rate-limited. Excessive usage may result in temporary throttling or suspension of access.
6. REPORTING OBJECTIONABLE CONTENT
If you encounter content on the Service that you believe violates Section 5.2 — including a comment left in a family group, or a recording made without the storyteller’s consent — report it to echoes-support@agenticsoftwaresolutions.io with enough detail for us to locate it.
We review reports promptly. Where a report is substantiated, we may remove the content, remove a member from a family group, or suspend or terminate the responsible account. Family group organizers can also remove members from their group directly in the App.
Separately, comments left on shared stories are not visible to the family group until the storyteller approves them, and the storyteller can remove any comment at any time.
7. INTELLECTUAL PROPERTY
The short version: Your stories are yours — the recordings, the transcripts, the audiobook, the memoir. We only get the limited license needed to run the Service, and we never train AI models on your content.
7.1 Your Content
You retain all ownership rights in the stories, voice recordings, transcripts, and other content you create using the Service (“User Content”). You grant us a limited, non-exclusive, worldwide, royalty-free license to host, store, transmit, process, and display your User Content solely to the extent necessary to provide the Service — including generating your transcripts, audio memoirs, and memoir books, and delivering stories you share to the family members you authorize. This license terminates when you delete your User Content or your account, except as required for backup, archival, or legal compliance purposes.
We do not use your User Content to train AI models, for advertising, or for any purpose other than providing the Service.
7.2 Our Intellectual Property
The Service, including its design, code, algorithms, AI prompts, interview frameworks, user interface, graphics, logos, and trademarks, is owned by or licensed to Agentic Software Solutions, LLC and protected by intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.
7.3 AI-Generated and Derivative Content
The Service generates content from your recordings: transcripts, compiled memoir prose, timeline summaries, and narrated audio memoirs in which AI-narrated bridge segments (spoken by stock synthetic voices) are woven together with the storyteller’s actual recordings. No storyteller’s voice is cloned, modeled, or synthetically recreated. You may use this content for personal and family purposes and export it from the App. We make no claim of ownership over generated content delivered to you, and no representation or warranty as to its accuracy, completeness, or fitness for any purpose. You are solely responsible for reviewing it before relying on or distributing it.
7.4 Feedback
If you provide us with suggestions, ideas, or feedback about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free license to use, modify, and incorporate it without any obligation to you.
8. PAYMENTS AND PURCHASES
The short version: One purchase — Echoes Complete, $199, one time — unlocks everything. You can buy it inside the app through Apple, or on our website through Stripe, at the same price. Gifts are bought on our website and claimed on our website, not in the app. Gift codes don’t expire. Unredeemed gifts are refundable for 30 days. If a purchase is refunded, access pauses but nobody’s recordings are deleted.
8.1 Products
The Service is offered as a single one-time purchase: Echoes Complete (US $199), which includes the full guided interview experience, transcripts, the narrated audio memoir, the memoir book (PDF and ePub), and family sharing.
The same purchase is available two ways, at the same price: as an in-app purchase processed by the Apple App Store and managed by RevenueCat, or on the Website processed by Stripe. Whichever you use, access belongs to your Echoes account.
Products previously offered (including Echoes Essential, Echoes Audiobook, and Echoes Legacy Bundle) are no longer sold, but remain fully honored for users who purchased them.
8.2 Pricing
All prices are displayed at the time of purchase. We reserve the right to change pricing at any time without prior notice. Price changes will not affect purchases already completed.
8.3 Refunds and Access Pauses
App Store purchases. In-app purchases are processed by Apple. Refund requests must be directed to Apple in accordance with Apple’s refund policies; we cannot issue refunds for purchases processed by Apple.
Website gift purchases. Gift purchases made on the Website through Stripe are eligible for a full refund within 30 days of purchase, provided the gift code has not been redeemed. To request a refund, contact echoes-support@agenticsoftwaresolutions.io with your order details. Once a gift code has been redeemed, refunds are considered case by case.
Website purchases for your own account. Purchases you make for yourself on the Website through Stripe are eligible for a full refund within 30 days of purchase. Contact echoes-support@agenticsoftwaresolutions.io with your order details. Because these purchases are used as soon as they are claimed, a refund pauses access as described immediately below.
Effect of a refund or dispute. If a purchase is refunded or charged back (on either rail), the associated access is paused: the affected account (and any family members whose access depends on that purchase) can no longer use the full Service. Recordings, transcripts, and stories are not deleted when access is paused. If your access is paused in error, contact echoes-support@agenticsoftwaresolutions.io and we will resolve it.
8.4 Gift Codes
Gift codes do not expire. A gift code you purchase stays redeemable indefinitely.
Each code is single-use: once redeemed, it activates access for the redeeming account and cannot be used again or transferred. Gift codes have no cash value and cannot be redeemed for cash. If a gift purchase is refunded or disputed, the associated code is revoked; a revoked code that was never redeemed becomes permanently unusable. Promotional and complimentary codes we provide free of charge may carry an expiration date, which will be stated when the code is issued. We reserve the right to void gift codes obtained through fraud or unauthorized means.
8.5 Where Purchases Happen, and Where Gifts Are Claimed
Echoes Complete can be bought either as an in-app purchase through the Apple App Store or on the Website (echoesmemoirs.com) through Stripe, at the same price. Gifts are sold exclusively on the Website; purchasing a gift does not require or create an Echoes account for the purchaser.
Gifts are claimed on the Website, not in the App. The recipient opens the claim link from their gift email at echoesmemoirs.com, creates their own Echoes account there, and accepts these Terms and our Privacy Policy as part of that step. Their access is already active before they first open the App. Anyone who buys Echoes for themselves on the Website creates their account the same way after checkout.
In both cases the App’s only role is to sign that account in. The App does not accept gift codes and provides no way to unlock access by entering one.
9. THIRD-PARTY SERVICES
9.1 AI Processing by OpenAI
The Service uses OpenAI’s APIs (including real-time voice, chat, transcription, and text-to-speech) to power AI interview features. During live recording sessions, the storyteller’s voice audio streams directly from your device to OpenAI’s servers via encrypted WebSocket connections using short-lived session credentials; text-based AI processing is routed through our backend. Contextual information (including storyteller details, previously extracted entities, timeline data, and topic preferences) is sent to OpenAI in AI prompts.
YOU ACKNOWLEDGE AND AGREE THAT: (a) your voice and story content will be transmitted to and processed by OpenAI; (b) we do not control OpenAI’s data handling, retention, or security practices; (c) OpenAI’s own terms and privacy policies govern their processing of your data; and (d) we are not responsible or liable for OpenAI’s acts or omissions, including any data breach, loss, or unauthorized use of your data by OpenAI.
9.2 Our Other Service Providers
The Service also relies on Firebase and Google Cloud (authentication in the App and on the Website, database, file storage, analytics), RevenueCat (in-app purchase management), Stripe (Website payments, both gifts and purchases for your own account), Resend (gift email delivery, to the purchaser and, where an address is provided, to the recipient), Apple and Google (sign-in, and Apple speech recognition for the demo), and Netlify (Website hosting and server-side analytics). Each processes your information under its own terms and privacy policy. Section 3.1 of our Privacy Policy sets out exactly what each provider receives and why.
9.3 No Endorsement
Reference to any third-party service does not constitute an endorsement. We are not responsible for the availability, accuracy, or content of any third-party service, and we are not responsible for the acts or omissions of any third-party provider. Claims arising from a third-party service must be directed to that provider.
10. DISCLAIMERS
The short version: The Service is provided as-is. AI makes mistakes — review what it produces. And Echoes is not therapy and not an emergency service: the app can show crisis resources, but it will never call anyone for you. In an emergency, call 911.
10.1 “AS IS” AND “AS AVAILABLE”
THE SERVICE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DEFECTS WILL BE CORRECTED.
10.2 AI Accuracy
THE AI FEATURES OF THE SERVICE, INCLUDING INTERVIEW RESPONSES, ENTITY EXTRACTION, FACT LEDGER ENTRIES, TIMELINE GENERATION, MEMOIR TEXT, AND NARRATED AUDIO STORIES, ARE GENERATED BY ARTIFICIAL INTELLIGENCE AND MAY CONTAIN ERRORS, INACCURACIES, HALLUCINATIONS, OR OMISSIONS. WE DO NOT WARRANT THE ACCURACY, COMPLETENESS, RELIABILITY, OR SUITABILITY OF ANY AI-GENERATED CONTENT. YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING AI-GENERATED CONTENT BEFORE RELYING ON IT.
10.3 Not Therapy, Medical Advice, or an Emergency Service
THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL THERAPY, COUNSELING, MEDICAL ADVICE, OR MENTAL HEALTH TREATMENT. THE AI INTERVIEWER IS NOT A LICENSED THERAPIST, COUNSELOR, PSYCHOLOGIST, PSYCHIATRIST, OR MEDICAL PROFESSIONAL. IF YOU OR A STORYTELLER EXPERIENCE EMOTIONAL DISTRESS DURING OR AFTER USING THE SERVICE, PLEASE SEEK PROFESSIONAL HELP.
The Service includes automated detection of possible distress that uses best-effort keyword matching on your device. It may fail to detect a genuine crisis, and it may occasionally trigger when no crisis exists. When triggered, the Service displays U.S.-specific crisis resources. The Service never contacts emergency services, hotlines, or any other person or organization on your behalf. This feature is not a substitute for professional emergency services. IF YOU OR SOMEONE YOU KNOW IS IN IMMEDIATE DANGER, CALL 911 OR YOUR LOCAL EMERGENCY NUMBER.
10.4 Data Loss
WE DO NOT WARRANT AGAINST DATA LOSS. WHILE WE IMPLEMENT COMMERCIALLY REASONABLE MEASURES TO PROTECT YOUR DATA, YOU ACKNOWLEDGE THAT NO SYSTEM IS INFALLIBLE. WE STRONGLY RECOMMEND THAT YOU MAINTAIN YOUR OWN BACKUPS OF ANY CONTENT THAT IS IMPORTANT TO YOU, INCLUDING BY USING THE APP’S EXPORT FEATURES.
11. LIMITATION OF LIABILITY
11.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AGENTIC SOFTWARE SOLUTIONS, LLC, ITS OFFICERS, DIRECTORS, MEMBERS, MANAGERS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS (COLLECTIVELY, THE “ECHOES PARTIES”) BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, USE, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE ECHOES PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
11.2 Cap on Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE ECHOES PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU HAVE PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS (US $100.00).
11.3 Basis of the Bargain
THE DISCLAIMERS AND LIMITATIONS OF LIABILITY SET FORTH IN THESE TERMS REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK BETWEEN YOU AND US AND ARE A FUNDAMENTAL ELEMENT OF THE BASIS OF THE BARGAIN. THE SERVICE WOULD NOT BE PROVIDED TO YOU WITHOUT THESE LIMITATIONS.
11.4 Jurisdictional Limitations
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IN SUCH JURISDICTIONS, THE LIMITATIONS AND EXCLUSIONS ABOVE SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless the Echoes Parties from and against any claims, demands, losses, damages, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or relating to (a) your use of or access to the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; (d) your User Content, including any claim that it infringes the intellectual property or privacy rights of any third party; (e) your failure to obtain proper consent from any storyteller or third party mentioned in recordings; (f) your recording of any person without their knowledge or consent; or (g) any dispute between you and any third party relating to the Service.
13. DISPUTE RESOLUTION: INFORMAL RESOLUTION, BINDING ARBITRATION, AND CLASS ACTION WAIVER
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.
The short version: If something goes wrong, tell us first — most problems get fixed in a conversation. If we can’t fix it within 60 days, disputes go to individual arbitration instead of court. You can opt out of arbitration within 30 days of creating your account.
13.1 Informal Resolution First
Before initiating arbitration or any other proceeding, you and we each agree to first attempt to resolve any dispute informally. The party raising the dispute must send the other a written notice describing the dispute and the requested resolution (to us: echoes-legal@agenticsoftwaresolutions.io; to you: the email associated with your account). The parties shall negotiate in good faith for at least sixty (60) days from receipt of the notice. Completion of this informal process is a condition precedent to initiating arbitration. Any applicable statute of limitations is tolled during the informal resolution period.
13.2 Agreement to Arbitrate
You and Agentic Software Solutions, LLC agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Service, or your relationship with us (collectively, “Disputes”) that is not resolved informally shall be resolved exclusively through final and binding individual arbitration, except as set forth below. This agreement to arbitrate is intended to be broadly interpreted and includes claims arising under federal, state, or local statutory or common law, including contract, tort, fraud, consumer protection, and anti-discrimination laws.
13.3 Arbitration Rules and Forum
Arbitration shall be administered by JAMS under its Streamlined Arbitration Rules and Procedures, or by any other mutually agreed-upon forum. If JAMS is unavailable, the parties shall mutually agree on an alternative, or the court shall appoint one. The arbitration shall take place in San Francisco County, California, unless otherwise agreed. The arbitrator shall apply California substantive law (without regard to conflict-of-laws principles).
13.4 Class Action Waiver
YOU AND WE EACH AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION AGAINST US. If any court or arbitrator determines that this class action waiver is void or unenforceable, or that an arbitration can proceed on a class basis, then the arbitration provision in this Section 13 shall be deemed null and void in its entirety, and the parties shall be deemed not to have agreed to arbitrate Disputes.
13.5 Waiver of Jury Trial
YOU AND WE EACH WAIVE THE RIGHT TO A TRIAL BY JURY FOR ANY DISPUTES SUBJECT TO THESE TERMS.
13.6 Coordinated Filings
If twenty-five (25) or more arbitration demands of a substantially similar nature are filed against us within a ninety (90) day period by or with the assistance of the same law firm, group of law firms, or coordinated organizations, the demands shall be resolved in staged proceedings: the parties shall each select five (5) demands to proceed first as bellwether arbitrations, and the remaining demands shall be held in abeyance (with filing fees deferred and statutes of limitations tolled) pending their resolution. Following the bellwether arbitrations, the parties shall engage in a global mediation of the remaining demands before any of them may proceed. This subsection does not affect any party’s substantive rights.
13.7 Exceptions to Arbitration
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party’s copyrights, trademarks, trade secrets, patents, or other intellectual property rights. Either party may also bring an individual action in small claims court for Disputes within that court’s jurisdictional limits.
13.8 Opt-Out
You may opt out of this arbitration agreement by sending written notice to echoes-legal@agenticsoftwaresolutions.io within 30 days of first creating your account. Your notice must include your full name, the email address associated with your account, and a clear statement that you wish to opt out. If you opt out, all other provisions of these Terms continue to apply.
13.9 Survival
This arbitration agreement shall survive termination of your account and these Terms.
14. GOVERNING LAW AND JURISDICTION
These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles. For any matters not subject to arbitration under Section 13, you and we consent to the exclusive jurisdiction and venue of the state and federal courts located in San Francisco County, California.
15. FAMILY SHARING AND MULTI-USER FEATURES
The short version: Every family member has their own account and a role. Share a story and the whole family group can listen and comment. Invites expire after 7 days. Gift recipients run their own accounts.
15.1 Family Groups and Roles
Every family member has their own Echoes account and one of three roles: storyteller (records interviews), listener (can view, listen to, and comment on shared stories, but can never record), or organizer (manages family membership and invitations). Stories marked as shared are accessible to all members of that family group — including the recording, story details, a transcript preview, and comments.
15.2 Invitations
Family invitations may be created by the family’s owner or an organizer, require the family’s entitlement to be active, and are delivered as invite links. Each invitation is single-use and expires seven (7) days after it is created.
15.3 Account Holder Responsibility
The account holder and storyteller are responsible for managing family group membership, deciding which stories to share, and ensuring that all family members and storytellers are comfortable with shared content. Access for family members depends on the family’s backing purchase remaining valid (see Section 8.3).
15.4 Gift Purchases
When you purchase a gift, the recipient creates their own independent account and redeems the gift code there. You may prefill the storyteller’s name and relationship, but the recipient controls their own account and data. We are not responsible for how gift recipients use the Service.
16. MODIFICATIONS TO THE SERVICE AND TERMS
16.1 Changes to the Service
We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice, and without liability to you. This includes changes to features, functionality, content, availability, AI models used, and pricing.
16.2 Changes to These Terms
We may revise these Terms at any time by posting updated Terms on the Website and within the App and updating the “Last Updated” date. Material changes will be communicated through the App or via email. Your continued use of the Service after the effective date constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service and delete your account.
17. GENERAL PROVISIONS
17.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and communications, written or oral.
17.2 Severability. If any provision is held invalid, illegal, or unenforceable, the remaining provisions continue in full force. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.
17.3 Waiver. Our failure to enforce any provision is not a waiver of it or any other provision. Any waiver must be in writing and signed by us.
17.4 Assignment. You may not assign or transfer these Terms without our prior written consent. We may freely assign these Terms, in whole or in part, including in connection with a merger, acquisition, restructuring, or sale of assets.
17.5 No Third-Party Beneficiaries. These Terms create no third-party beneficiary rights, except that the Echoes Parties identified in Section 11 are intended third-party beneficiaries of the limitation of liability and indemnification provisions.
17.6 Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, internet or telecommunications failures, power outages, or third-party service provider failures.
17.7 Notices. Notices to us must be sent to echoes-legal@agenticsoftwaresolutions.io. Notices to you will be sent to the email address associated with your account or displayed within the App. Notices are deemed received when sent by email or when displayed within the App.
17.8 Headings. Section headings are for convenience only and have no legal or contractual effect.
17.9 Electronic Agreement. You agree that these Terms may be executed electronically and that your electronic acceptance constitutes your binding agreement. You waive any requirement under any law requiring an original signature or the delivery or retention of non-electronic records.
